Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of:

  • www.bildlist.com
  • Any related applications, mobile applications, APIs, or services (collectively, the “Platform”)

The Platform is owned and operated by Bildlist Media Limited (“Bildlist,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Description of the Platform
Bildlist provides a digital platform designed for:

  • Construction project management
  • Inspection workflows and reporting
  • Compliance tracking and documentation
  • Collaboration between project stakeholders

The Platform may evolve, and features may be added, modified, or removed at any time without notice.

3. Eligibility
To use the Platform, you must:

  • Be at least 18 years old
  • Have legal capacity to enter into a binding agreement
  • Comply with all applicable laws and regulations

If you use the Platform on behalf of an organization, you represent that you have authority to bind that organization.

4. User Accounts

4.1 Registration
You agree to provide accurate, complete, and current information when creating an account.

4.2 Account Responsibility
You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activities conducted under your account

You must notify us immediately of unauthorized use.

4.3 Organizational Accounts
If your account is associated with an organization:

  • The organization may access and control your account
  • Data may be managed at the organizational level

5. Use of the Platform
You agree to use the Platform only for lawful purposes.

You must not:

  • Upload false, misleading, or non-compliant construction data
  • Use the Platform for fraudulent or unlawful activities
  • Interfere with system security or performance
  • Attempt unauthorized access to data or systems
  • Reverse engineer or replicate the Platform

6. User Content & Project Data

6.1 Ownership
You retain ownership of all content you upload, including:

  • Project records
  • Inspection reports
  • Documents, images, and data

6.2 License to Bildlist
You grant Bildlist a worldwide, non-exclusive, royalty-free license to:

  • Host, store, process, and display your content
  • Operate and improve the Platform

6.3 Responsibility for Content
You are solely responsible for:

  • Accuracy of construction and compliance data
  • Ensuring data meets regulatory requirements
  • Any reliance placed on your content by others

7. Collaboration & Data Sharing
The Platform enables sharing between users and organizations.

You acknowledge that:

  • You control access permissions
  • Shared data may be relied upon by third parties
  • Bildlist is not responsible for how shared data is used

8. Fees, Subscriptions & Payments
Where applicable:

  • Certain features require payment or subscription
  • Fees are billed in advance or on a recurring basis
  • Subscriptions automatically renew unless cancelled

Failure to pay may result in suspension or termination of access.

All payments are processed via third-party providers.

9. Platform Availability & Updates
We aim to provide reliable service but do not guarantee:

  • Continuous uptime
  • Error-free operation
  • Compatibility with all devices or systems

We may:

  • Modify or discontinue features
  • Perform maintenance or updates
  • Restrict access as needed

10. Third-Party Services
The Platform may integrate with third-party services.

We are not responsible for:

  • Third-party performance or availability
  • Data handling by third parties

11. Disclaimers (Critical – Construction Use)
The Platform is provided “as is” and “as available.”

Bildlist does not guarantee:

  • Accuracy of inspection or compliance data
  • Regulatory compliance outcomes
  • Suitability for legal, engineering, or safety decisions

Important:

The Platform is a tool only. It does not replace:

  • Professional judgment
  • Certified inspections
  • Regulatory authority decisions

Users remain fully responsible for all construction, safety, and compliance decisions.

12. Limitation of Liability
To the maximum extent permitted by law:

Bildlist shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits, data, or business opportunities
  • Construction defects, compliance failures, or safety issues

Total liability is limited to the amount paid by you (if any) in the past 12 months.

13. Indemnification
You agree to indemnify and hold harmless Bildlist from claims arising out of:

  • Your use of the Platform
  • Your content or data
  • Construction or compliance decisions made using the Platform

14. Suspension & Termination
We may suspend or terminate access if you:

  • Violate these Terms
  • Engage in unlawful or harmful conduct
  • Pose a risk to the Platform or other users

You may terminate your account at any time.

Upon termination:

  • Access to the Platform ends
  • Data may be deleted in accordance with our policies

15. Privacy
Your use of the Platform is governed by our Privacy Policy.

16. Changes to These Terms
We may update these Terms periodically.

Material changes may be communicated via:

  • Email
  • In-app notification

Continued use constitutes acceptance of updated Terms.

17. Governing Law & Dispute Resolution

Governing Law
These Terms are governed by and construed in accordance with:

  • The laws of the Province of British Columbia
  • The federal laws of Canada applicable therein

Jurisdiction
Unless otherwise required by applicable law:

  • Any disputes shall be subject to the exclusive jurisdiction of the courts of the Province of British Columbia, Canada
  • You agree to submit to the personal jurisdiction of such courts

Arbitration (Applicable to U.S. Users)
If you are located in the United States, you agree that:

  • Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration, rather than in court
  • Arbitration shall be administered by a recognized arbitration provider and conducted in accordance with its applicable rules
  • The arbitration may be conducted remotely or in a mutually agreed location

Class Action Waiver
To the fullest extent permitted by law:

  • You agree to resolve disputes with Bildlist on an individual basis only
  • You waive any right to participate in a class action, collective action, or representative proceeding

Exceptions
Nothing in this section prevents Bildlist from:

  • Seeking injunctive or equitable relief in a court of competent jurisdiction
  • Enforcing intellectual property rights

18. Government & Public Sector Entities
If you are a government entity, municipality, state, provincial, or federal agency (“Public Sector Entity”), the following applies:

  • Certain provisions of these Terms, including but not limited to arbitration requirements, class action waivers, indemnification obligations, and governing law provisions, may not apply to the extent prohibited by applicable law
  • Nothing in these Terms shall be deemed to waive or limit any statutory rights, immunities, or protections available to Public Sector Entities
  • Any conflicting terms required by applicable procurement laws, regulations, or policies shall prevail over these Terms

Where required, Bildlist may agree to separate written agreements or amendments to accommodate Public Sector Entity requirements.

19. General Provisions

  • These Terms constitute the entire agreement
  • If any provision is invalid, the remainder remains in effect
  • Failure to enforce a provision is not a waiver
